Entry signal — what decides who wins here

One thing must be true
Structure decides One thing must be true Execution decides

Entry turns on a single condition that can be named and tested before much is spent. Clear it and this becomes an execution question; fail it and no amount of operating skill helps.

What you would have to beat

Displace an incumbent the screen found well defended — payments attached to the workflow, data that does not leave, a contract that renews itself. Share here means giving a buyer a reason to break something that currently works, which is a higher bar than being better.

Measured, not forecast: the share of US establishments opening in one year that were still active later. It counts good operators and bad ones together, which is exactly why it is the honest answer to “what are the odds”. It is for the whole sector rather than this market, and the ten-year figure comes from an older cohort because no younger one has reached ten years.

This is not a probability of success, and it is not a verdict on you. No survival probability is published per market, and inventing one would be worse than saying so. What the bar reads is how much of the outcome sits inside an operator's control: green means the hurdles are ones a better operator clears, red means the binding constraint is capital, an asset or a permission rather than execution. Someone arriving with an advantage this screen did not assume can win a market shown in red.

The binding constraint — incumbent vulnerability

The licence-compliance end has consolidated into one private-equity roll-up, and the platform vendors sell it as a module. Flexera, a Thoma Bravo portfolio company, completed its acquisition of Snow Software on 15 February 2024 [B, Flexera and Thoma Bravo releases], joining the two best-known independents in software asset management (SAM) — the tools enterprises use to reconcile installs against entitlements and defend Microsoft, Oracle, IBM and SAP audits. snowsoftware.com now redirects to flexera.com. Thoma Bravo also took a majority stake in USU's product business, closed 4 December 2024 with over 600 employees, and USU then bought the SaaS-management vendor saasmetrix in March 2025 [B, Thoma Bravo and USU releases]. ServiceNow sells software and hardware asset management inside the Technology product group of a platform with $13.278B of 2025 revenue [A, 10-K, as recorded in the ITSM record], so the CIO who owns the service desk is offered SAM on the same contract. Freshworks' Device42 discovery and asset tool is above $40M of ARR on its own [A, Freshworks Q4 2025 release]. What is left independent is small: Certero (Warrington, privately owned since 2007 [C, vendor]) and Lansweeper (€130M minority investment from Insight Partners in 2021 [B]). Below them, Snipe-IT and GLPI give the hardware-inventory half away free. The SaaS-management wave of 2021–22 is now consolidating or failing. Productiv, which had raised about $73M, made a general assignment for the benefit of creditors on 25 June 2026 and shut on 6 August 2026 with three days' notice to customers [C, competitor blogs; productiv.com now redirects to an unrelated 3PL firm]. CoreStack bought BetterCloud in March 2026 [C, company release]. Vertice bought Vendr, which had raised $216M at a $1B valuation, on 1 June 2026 [B/C]. Zluri and Lumos have repositioned their homepages as identity governance [C, homepages opened]. Torii ($65M) and Zylo (about $72.5M) remain independent on 2022 money [B]. A new entrant would sell discovery and spend data into a buyer already holding it in its service-management platform, its identity provider and its procurement tool. Incumbent vulnerability decides it. How this differs from its neighbours: ITSM (541514-itsm-and-it-portfolio-management) is the ticketing and portfolio system; this record is the entitlement and licence-position layer that sits beside it. EAM covers physical plant and fleet assets, not IT. MDM/UEM manages and secures the device; ITAM records what was bought, where it is and what it is licensed for. Procurement and expense records cover the purchase itself; SaaS buying services such as Vendr negotiate the software contract and so straddle this record and procurement.

I

The incumbent

Who owns this market and who is coming for it. Fields a screen never reached say so rather than guessing.

Incumbent
Flexera (with Snow Software), and ServiceNow SAM/HAM as a platform module
Scale
Flexera is private (Thoma Bravo) and publishes no revenue; it completed the Snow Software acquisition on 2024-02-15 [B]. ServiceNow reports $13.278B 2025 revenue with asset management inside its Technology product group, no line broken out [A]
Challengers
Licence and hardware ITAM: USU (Thoma Bravo majority), Certero, Lansweeper, Ivanti Neurons for ITAM, Device42 (Freshworks), Oomnitza. SaaS management: Zylo, Torii, BetterCloud (CoreStack), Cledara, Zluri and Lumos (both now identity-governance led). SaaS buying: Vendr (Vertice). Open source: Snipe-IT, GLPI, OCS Inventory
Lock-in mechanism
The normalised software catalogue and the reconciled licence position — years of entitlement records, contract terms and audit history mapped to discovered installs. Rebuilding it before a publisher audit is the risk buyers will not take
Price movement
Not disclosed. Platform bundling (ServiceNow, Freshworks, identity providers) and free open-source inventory both press down on standalone discovery
Is the buyer consolidating?
Yes — Private equity is rolling the licence-compliance vendors together (Flexera + Snow; USU + saasmetrix under Thoma Bravo), and the SaaS-management start-ups are being bought (BetterCloud, Vendr) or shutting (Productiv)

Discovery is a commodity; the licence position is not. Finding every device and install is something agents, network scans, MDM and identity logs all do, and free tools do it well. Turning installs into a defensible entitlement position against Microsoft, Oracle, IBM or SAP licence rules needs a curated product catalogue and publisher rule library, and that is what Flexera and Snow built and what Thoma Bravo now owns.

Evidence

Evidence. Market size and vendor revenue UNVERIFIED — Flexera, Snow, USU, Certero, Lansweeper and every SaaS-management vendor are private and publish no revenue; ServiceNow and Freshworks do not break out asset management except Freshworks' 'Device42 above $40M ARR' [A, Q4 2025 release, carried from the ITSM record]. No analyst market size is used. Opened 2026-10-20: Flexera's release 'Flexera Completes Acquisition of Snow Software' (Itasca, Stockholm and Austin, 2024-02-15) and the same release on thomabravo.com [B]; Flexera's about page (HQ Itasca since 2014; 'Snow, 2024 Flexera acquires Snow Software'); Thoma Bravo's Flexera portfolio page; snowsoftware.com returning a 301 to flexera.com. Thoma Bravo's release completing its majority stake in USU's product business (Möglingen and London, 2024-12-04, over 600 employees) [B] and USU's saasmetrix release (2025-03-04) [C]. Insight Partners' Lansweeper release (Grembergen, 2021-06-02, €130M minority) [B]. Certero's company and contact pages (founded 2007, Warrington HQ) [C]. Zylo's Series C release (Indianapolis, 2022-11-29, $31.5M, 'more than $67.5M to date') [B]; the $5M extension was seen only in search results and is not counted. CTech/Calcalist on Torii ($50M Series B, $65M total) [B]. SiliconANGLE on Vendr ($150M Series B, $1B valuation per Bloomberg, $216M per Crunchbase) [B]. Vertice's PR Newswire release acquiring Vendr (via AAP, 2026-06-01) [C]. BetterCloud's own post on the CoreStack acquisition (2026-03-31) [C]. SecurityWeek on Zluri ($20M Series B, $32M total, 2023-07-14) [B]. Lumos newsroom listing the $35M Series B [C]. Nauta Capital's Cledara release ($20M Series A, CommerzVentures) [B]. Oomnitza's own release ($20M, C5 Capital, $35M total) [C for claims, B for the round]. Productiv's shutdown rests on Subble and Tropic blog posts — both competitors — and on productiv.com now redirecting to an unrelated 3PL company; no court filing or Productiv notice was opened, so treat the dates as C. GitHub pages for Snipe-IT (AGPL-3.0), GLPI (GPL-3.0) and OCS Inventory (GPL-2.0) were opened. lansweeper.com, servicenow.com and freshworks.com returned bot checks (403). IBM Apptio Cloudability is mentioned as FinOps context only and was not researched. Verify before acting.
